na řádnou valnou hromadu společnosti MedBooker.com a.s., IČ: 09461191, se sídlem Velflíkova 1430/8, Dejvice, 160 00 Praha 6, zapsané v obchodním rejstříku vedeném Městským soudem v Praze v oddílu B, vložka 25640 (dále také jako „Společnost“)
Představenstvo Společnosti MedBooker.com a.s. svolává tímto v souladu s ustanovením § 402 a násl. zákona č. 90/2012 Sb., o obchodních společnostech a družstvech (zákon o obchodních korporacích) (dále jen „ZOK“) jednání řádné valné hromady, která se uskuteční dne 08.12. 2022 v 10:00 hodin v sídle společnosti na adrese Velflíkova 1430/8, Dejvice, 160 00 Praha 6, s následujícím programem:
Program jednání řádné valné hromady:
1. Zahájení;
2. Volba orgánů valné hromady Společnosti;
3. Rozhodnutí o zrušení Společnosti a vstupu Společnosti do likvidace;
4. Volba likvidátora Společnosti;
5. Závěr.
Prezence akcionářů bude probíhat od 9:30 hodin do 10:00 hodin v místě konání valné hromady společnosti. K účasti na valné hromadě jsou oprávněni akcionáři zapsaní v seznamu akcionářů ke dni konání valné hromady.
Akcionář vykonává svá práva na valné hromadě osobně, prostřednictvím svého statutárního orgánu nebo prostřednictvím zástupce na základě písemné plné moci. Zástupce akcionáře na základě plné moci je povinen před zahájením valné hromady odevzdat písemnou plnou moc podepsanou zastoupeným akcionářem, z níž vyplývá rozsah zástupcova oprávnění a zda byla udělena pro zastoupení na jedné nebo více valných hromadách, a prokáže se navíc platným průkazem totožnosti.
Korespondenční hlasování se nepřipouští.
Vyjádření představenstva k bodu č. 2:
Valná hromada volí v souladu s ustanovením § 422 ZOK předsedu, zapisovatele, ověřovatele zápisu a osoby pověřené sčítáním hlasů. V zájmu efektivního řízení valné hromady by do orgánů valné hromady měly být zvoleny ty z osob přítomných na valné hromadě, které mají s výkonem příslušných funkcí předchozí zkušenosti.

Rozhodnutí o zrušení Společnosti a vstupu Společnosti do likvidace;
S účinností ke dni 01.12.2022 se společnost MedBooker.com a.s. ruší a vstupuje do likvidace. Po dobu likvidace se užívá firma společnosti s dovětkem: „v likvidaci“.
Odůvodnění k bodu č. 3
Jelikož společnost dlouhodobě negeneruje zisk a přestala vyvíjet činnost za jejímž účelem byla založena, je navrženo její zrušení a vstup do likvidace, přičemž účelem likvidace ve smyslu § 187 odst. 1 občanského zákoníku je, vypořádat majetek zrušené právnické osoby (likvidační podstatu), vyrovnat dluhy věřitelům a naložit s čistým majetkovým zůstatkem, jenž vyplyne z likvidace (s likvidačním zůstatkem), podle zákona.

Volba likvidátora Společnosti
Likvidátorem společnosti MedBooker.com a.s. se volí pan Rostislav Litvin, dat. nar. 17. února 1981, bytem Terronská 876/68, Bubeneč, 160 00 Praha 6, s tím, že jeho funkce vzniká dnem zrušení společnosti a jejím vstupem do likvidace.
Odůvodnění k bodu č. 4
Dle § 189 odst. 1 občanského zákoníku při vstupu do likvidace povolá příslušný orgán právnické osobě likvidátora; likvidátorem může být jen osoba způsobilá být členem statutárního orgánu. Z toho důvodu je jako likvidátor Společnosti navržen pan Rostislav Litvin, předseda představenstva Společnosti, který splňuje veškeré požadavky stanovené právními předpisy pro výkon funkce likvidátora.

Board of Directors of MedBooker.com a.s. hereby convenes in accordance with the provisions of § 402 et seq. of Act No. 90/2012 Coll., on Business Companies and Cooperatives (Act on Business Corporations) (hereinafter referred to as "ZOK") of the ordinary general meeting, which will take place on 08.12. 2022 at 10:00 a.m. at the company's headquarters at Velflíkova 1430/8, Dejvice, 160 00 Prague 6, with the following program.
Agenda of the regular general meeting:
1. Commencement;
2. Election of the bodies of the Company's general meeting;
3. Decision on the dissolution of the Company and the entry of the Company into liquidation;
4. Election of the liquidator of the Company;
5. Conclusion.
The presence of shareholders will take place from 9:30 a.m. to 10:00 a.m. at the place of the company's general meeting. Shareholders registered in the list of shareholders on the day of the general meeting are entitled to participate in the general meeting.
The shareholder exercises his rights at the general meeting in person, through his statutory body or through a representative based on a written power of attorney. A representative of a shareholder based on a power of attorney is obliged to submit a written power of attorney signed by the represented shareholder, which indicates the scope of the representative's authority and whether it was granted for representation at one or more general meetings, and is also proven by a valid identity card before the start of the general meeting.
Correspondence voting is not allowed.
Statement of the Board of Directors on point No. 2:
In accordance with the provisions of § 422 of the ZOK, the general meeting elects the chairman, the recorder, the verifier of the minutes and the person entrusted with counting the votes. In the interest of effective management of the general meeting, those persons present at the general meeting who have previous experience in performing the relevant functions should be elected to the bodies of the general meeting.

Decision on the dissolution of the Company and the entry of the Company into liquidation; With effect from 01.12.2022, the company MedBooker.com a.s. cancels and goes into liquidation. During the liquidation period, the company's name is used with the suffix: "in liquidation".
Justification for point No. 3
Since the company does not generate profit for a long time and has ceased to carry out the activities for which it was founded, it is proposed to cancel it and go into liquidation, while the purpose of the liquidation in the sense of § 187, paragraph 1 of the Civil Code is to settle the assets of the liquidated legal entity (liquidation substance), settle debts creditors and dispose of the net asset balance resulting from the liquidation (with the liquidation balance), according to the law.

Mr. Rostislav Litvin, dat. born February 17, 1981, apartment Terronská 876/68, Bubeneč, 160 00 Prague 6, with the fact that his function arises on the date of the dissolution of the company and its entry into liquidation.
Justification for point No. 4
Pursuant to Section 189, paragraph 1 of the Civil Code, upon entry into liquidation, the competent authority of the legal entity shall appoint a liquidator; only a person qualified to be a member of the statutory body can be a liquidator. For that reason, Mr. Rostislav Litvin, the Chairman of the Board of Directors of the Company, is proposed as the Company's liquidator, who meets all the requirements set by law for the performance of the liquidator's function.
